By accessing or using BiotechEdge (“the Service”), operated by BiotechEdge (“we,” “us,” or “our”), you agree to be bound by these Terms of Use. If you do not agree, do not use the Service.

2. Description of Service

BiotechEdge is a data analytics platform that aggregates publicly available information from sources including SEC EDGAR filings, ClinicalTrials.gov, PubMed, and other public databases. We present this data with AI-generated summaries and analysis to help users track biotech sector activity.

BiotechEdge is not a registered investment adviser, broker-dealer, or financial planner. Nothing on this platform constitutes investment advice, a recommendation to buy or sell any security, or an offer to transact in any financial instrument.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree not to share your login or allow others to access the Service through your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Billing

Paid subscriptions are billed monthly through Stripe. Your subscription renews automatically unless cancelled before the next billing cycle. Refunds are handled on a case-by-case basis. Free trial periods, where offered, convert to paid subscriptions unless cancelled before the trial ends.

5. Intellectual Property

All content on BiotechEdge — including AI-generated analysis, data visualizations, design, and code — is our proprietary intellectual property or licensed to us. You may not copy, redistribute, republish, or create derivative works from our content without prior written consent.

Underlying data sourced from public government databases (SEC, NIH) remains in the public domain. Our value-add — the curation, analysis, and presentation of that data — is protected.

6. Acceptable Use

You agree not to:

• Scrape, crawl, or systematically extract data from the Service for commercial purposes
• Redistribute BiotechEdge content to third parties or competing services
• Attempt to reverse-engineer, decompile, or interfere with the platform's operation
• Use the Service for any unlawful purpose

7. Data Accuracy and Disclaimers

We aggregate data from third-party public sources and process it using automated systems, including AI models. While we strive for accuracy, we do not guarantee that any information on the platform is complete, current, or error-free.

When we present third-party data (SEC filings, clinical trial records, published research), we generally have not independently verified the underlying statements. Data may be delayed, incomplete, or subject to subsequent correction by the original source.

You are solely responsible for any decisions you make based on information from BiotechEdge.

8. Limitation of Liability

To the fullest extent permitted by law, BiotechEdge and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or investment losses, arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless BiotechEdge, its operators, and affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or a notice on the platform. Continued use of the Service after changes constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
